These Terms of Service (“Terms”) constitute a legally binding agreement between you and Bitvarium (a trading name of Growthery Media (OPC) Private Limited, incorporated in India under the Companies Act 2013) governing your access to and use of bitvarium.com (“the Website”) and any professional services you engage us to provide.

By accessing the Website or engaging Bitvarium for services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please stop using the Website and do not engage our services.

These Terms should be read alongside our Privacy Policy, which governs how we collect and handle personal data.

1. Definitions

Throughout these Terms, the following words have the meanings set out below:

“Bitvarium”, “we”, “us”, “our” — Bitvarium, a trading name of Growthery Media (OPC) Private Limited, India.

“Website” — bitvarium.com and all pages, subdomains, and content hosted under it.

“Services” — the professional WordPress development, design, SEO, strategy, and related services offered by Bitvarium to clients, as described on the Website and confirmed in a Project Agreement.

“Client”, “you”, “your” — the individual, business, or organisation accessing the Website or engaging Bitvarium for Services.

“Project Agreement” — the separate written document (proposal, statement of work, or services agreement) signed between Bitvarium and a Client that sets out the specific scope, timeline, deliverables, and fees for a project. The Project Agreement is incorporated into these Terms by reference and prevails over them in the event of any conflict specific to the project scope.

“Deliverables” — the website, design files, written content, configuration, documentation, and other outputs produced by Bitvarium for a Client under a Project Agreement.

“Content” — all text, images, graphics, videos, tutorials, documentation, and other material published on the Website by Bitvarium.

“Bitvarium Vault” — the subscriber-only library of free web development resources and tools accessible via newsletter subscription.

“Client Portal” — the project management platform hosted at bitvarium.kitchen.co, used to manage active client projects.

“Third-Party Tools” — plugins, themes, software libraries, SaaS platforms, APIs, or other tools not developed by Bitvarium that may be incorporated into a project.

2. About Bitvarium

Bitvarium is a WordPress development and digital strategy practice operated under Growthery Media (OPC) Private Limited. We design, build, and implement WordPress websites for service businesses — covering site architecture, performance, SEO, lead capture, and custom functionality. Every client project is led and managed by a dedicated project manager who serves as your single point of contact from initial brief through to launch and handover.

Bitvarium takes on a selective number of client projects at any given time to ensure every engagement receives the focused, managed attention it deserves. Project capacity is finite and deliberately controlled to maintain delivery quality. An enquiry or proposal does not constitute a reservation of capacity. Capacity is only secured upon signature of a Project Agreement and receipt of any required deposit.

The Website also serves as a content platform, publishing blog posts, tutorials, documentation, reviews, and showcasing past work. These sections are accessible to all visitors under the terms set out in Sections 3 and 4 below.

3. Website Use — Acceptable Use Policy

You may access and use the Website for lawful purposes only. You agree that you will not:

Use the Website in any way that violates applicable laws or regulations in India or in your jurisdiction of residence.
Copy, reproduce, redistribute, republish, or commercially exploit any Content from the Website without our prior written permission, beyond what is permitted under Section 4.
Attempt to gain unauthorised access to any part of the Website, its hosting infrastructure, or the Client Portal.
Introduce malware, viruses, or any other harmful code to the Website.
Use automated tools (scrapers, bots, crawlers) to extract Content from the Website at scale without our prior written consent.
Use the Website to transmit unsolicited commercial communications or spam.
Impersonate Bitvarium, Praveen Gandhiraj, or any other person or entity in connection with the Website.
Use the Website’s contact form or newsletter subscription to submit false, misleading, or fraudulent information.

We reserve the right to restrict, suspend, or block access to the Website for any user who we reasonably believe is violating this policy, without prior notice.

4. Intellectual Property — Website Content

All Content on the Website — including but not limited to blog posts, tutorials, documentation, code snippets, review articles, design assets, and the Showcase — is the intellectual property of Bitvarium / Growthery Media (OPC) Private Limited, unless explicitly stated otherwise. It is protected by applicable copyright, trademark, and other intellectual property laws.

What You May Do

Read, reference, and share links to any page on the Website freely.
Quote brief passages from blog posts, tutorials, or documentation in your own content, provided you clearly attribute Bitvarium and link back to the original source.
Use code snippets published in our Tutorials or Docs sections in your own projects, where those snippets are clearly presented as instructional examples for reader use.

What You May Not Do

Reproduce, republish, or redistribute substantial portions of any Content — including full articles, tutorial sequences, or documentation pages — without our prior written permission.
Use any Content for commercial purposes (selling, licensing, or monetising it) without a separate written licence from Bitvarium.
Remove or alter any copyright, attribution, or trademark notices from Content.
Present Bitvarium’s Content as your own original work.

5. Bitvarium Vault — Free Resources

The Bitvarium Vault is a curated library of web development resources, tool lists, and guides made available exclusively to newsletter subscribers at no charge. By subscribing to access the Vault, you agree that:

Vault resources are provided for your personal and professional use. You may use them in your own projects and workflows.
You may not redistribute, resell, repackage, or sub-license Vault resources — in whole or in part — to third parties without our prior written consent.
Vault resources are provided as-is, without warranty. Third-party tools referenced within the Vault are subject to their own terms and pricing, which may change independently of our updates to the Vault.
Access to the Vault is conditional on maintaining an active newsletter subscription. We reserve the right to update, remove, or modify Vault resources at any time without prior notice.
Bitvarium has no affiliation with, and receives no compensation from, any third-party tool listed in the Vault unless explicitly disclosed as a sponsored or affiliate inclusion.

6. Client Portal (bitvarium.kitchen.co)

Active clients are granted access to the Bitvarium Client Portal, hosted at bitvarium.kitchen.co, for the purpose of project communication, file exchange, approvals, and progress tracking.

Access: Portal access is provided solely for the duration of your active project engagement. It is non-transferable and must not be shared with third parties outside your organisation without our prior written consent.
Credentials: You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately if you suspect unauthorised access to your account.
Content submitted: Files, briefs, brand assets, copy, and other materials you upload to the Portal remain your property. By uploading them, you grant Bitvarium a limited licence to use them solely for the purpose of delivering your project.
Retention: Project files and communications in the Portal are retained for up to 12 months after project completion, after which they may be archived or deleted. You are responsible for downloading and retaining your own copies of all project materials.
Availability: The Client Portal is a third-party hosted platform. We do not warrant uninterrupted or error-free access, and we are not liable for downtime caused by the platform provider.

7. Professional Services — Engagement Terms

7.1 How Engagements Begin

A professional services engagement begins only when both parties have signed a Project Agreement and Bitvarium has received any deposit specified in that agreement. No work will commence, and no project slot will be reserved, prior to both conditions being met.

Enquiries, discovery calls, and proposals do not constitute a binding engagement and do not obligate either party to proceed. Bitvarium reserves the right to decline any project without obligation to provide a reason.

7.2 Scope of Services

The specific scope of Services, deliverables, timeline, milestones, and fees for a project are defined in the Project Agreement. These Terms govern the general relationship between Bitvarium and the Client; the Project Agreement governs the specific project. In the event of a conflict between these Terms and a Project Agreement, the Project Agreement prevails for matters specific to the project scope.

7.3 Our Project Delivery Model

Every Bitvarium project is led by a dedicated project manager who acts as your single point of contact throughout the engagement. All client communication, milestone approvals, scope decisions, feedback consolidation, and strategic direction are handled through this point of contact. You will never be passed between departments or handed off mid-project.

Depending on the scope and requirements of a project, work may be delivered in whole or in part by specialist contractors engaged and managed by Bitvarium. These contractors operate under Bitvarium’s direction and are subject to the same confidentiality and quality obligations that apply to the engagement. The Client’s contractual relationship is solely with Bitvarium — not with any individual contractor — and Bitvarium remains fully responsible for the quality, delivery, and outcomes of all work, regardless of how it is staffed internally.

Bitvarium does not disclose the identities of contractors engaged on a project. This is standard practice in professional services engagements and does not affect your rights as a Client, the warranties Bitvarium provides, or the accountability structure of the engagement.

Project timelines are set based on realistic delivery capacity and are agreed upon in the Project Agreement before work begins.
Force majeure events or circumstances beyond our reasonable control may affect delivery timelines. We will notify you promptly in any such situation and work with you to revise the schedule reasonably.

7.4 Timelines and Client Dependencies

Project timelines set out in the Project Agreement are contingent on the Client meeting agreed deadlines for content delivery, feedback, approvals, and access provision. Where a Client delay causes a project to fall behind schedule, Bitvarium reserves the right to:

Revise the project timeline accordingly.
Re-schedule the project to the next available slot if the delay exceeds 14 calendar days, which may result in a revised launch date.
Invoice for work completed to date if the delay exceeds 30 calendar days and constitutes effective abandonment of the project.

8. Project Scope and Change Management

The scope of a project is what is defined in the Project Agreement. Work requested beyond that scope — additional pages, features, integrations, design revisions beyond the agreed number of rounds, or structural changes after a milestone has been signed off — constitutes a scope change.

All scope changes must be agreed in writing before the additional work begins. Bitvarium will provide a written change request detailing the additional work, estimated time, and fee. Work on the change begins only upon your written acceptance.

Verbal requests for changes — made during calls, via WhatsApp, or informally — do not constitute agreed scope changes and will not be actioned until confirmed in writing through the Client Portal or by email.

Bitvarium makes reasonable efforts to flag when a request falls outside the agreed scope before it becomes a problem. However, the Client is equally responsible for understanding what is and is not included in the Project Agreement before requesting additional work.

9. Client Responsibilities

A project’s success depends on active Client participation. By engaging Bitvarium, you agree to:

Timely delivery of materials: Provide all required content, brand assets, copy, images, and access credentials by the dates agreed in the Project Agreement. Delays in material provision directly delay the project.
Responsive communication: Review drafts, mockups, and staging environments within the review windows specified in the Project Agreement and provide consolidated, actionable feedback. Feedback submitted piecemeal or after the review window may be treated as a scope change.
Content accuracy: Ensure that all content, copy, images, and other materials you supply are accurate, lawful, not defamatory, and do not infringe the intellectual property rights of any third party. Bitvarium is not responsible for verifying the accuracy or legal compliance of client-supplied content.
Providing necessary access: Grant Bitvarium timely access to your hosting account, domain registrar, existing WordPress installation, analytics accounts, or any other system required to deliver the project. Delays in access provision delay the project on the same basis as content delays.
Milestone sign-offs: Provide written approval at each milestone before work proceeds to the next phase. A milestone is considered approved if no written objection is raised within the review window specified in the Project Agreement.
Credential security post-handover: After project handover, you are solely responsible for the security of all login credentials (WordPress admin, hosting, domain, third-party accounts). You should change all passwords shared with Bitvarium during the project within 14 days of handover.
Maintaining your own backups: Once the site is live and handed over, you are responsible for ensuring adequate backups are in place. Bitvarium will configure a backup solution as part of the project where specified, but the ongoing management of backups is your responsibility unless a separate maintenance agreement is in place.

10. Payment Terms

10.1 Fees

Project fees are set out in the Project Agreement. All fees are quoted in the currency specified in the Project Agreement, exclusive of applicable taxes (including GST where applicable under Indian law), unless stated otherwise.

10.2 Payment Schedule

Payment is structured as set out in the Project Agreement, typically in instalments tied to project milestones. The standard structure is a deposit to initiate the project, one or more milestone payments during the project, and a final payment before site launch or handover. Specific amounts and due dates are defined per project.

10.3 Late Payment

Invoices are due within the payment period specified in the Project Agreement. If payment is not received by the due date:

Bitvarium may pause all work on the project until the outstanding amount is settled.
Bitvarium reserves the right to charge interest on overdue amounts at the rate of 1.5% per month from the due date until payment is received in full.
Where the project is paused due to non-payment, re-scheduling to the next available slot may apply, and the original timeline cannot be guaranteed.

10.4 Non-Payment and Withholding of Deliverables

Bitvarium retains a lien over all Deliverables until all fees due under the Project Agreement have been paid in full. We are under no obligation to transfer, publish, or hand over any Deliverable — including a completed website — until outstanding invoices are settled. This applies even where the Client has approved the Deliverables.

10.5 Refunds

Deposits and milestone payments made are non-refundable unless Bitvarium is in material breach of the Project Agreement and has failed to remedy that breach within 14 days of written notice from the Client. Refund eligibility for work in progress is assessed on a case-by-case basis against the proportion of work completed.

11. Deliverables and Intellectual Property Ownership

11.1 Transfer of Ownership

Upon receipt of full and final payment of all fees due under the Project Agreement, Bitvarium assigns to the Client all intellectual property rights in the bespoke elements of the Deliverables — including custom design files, custom-coded templates, and any original written content produced by Bitvarium specifically for the Client’s project.

Until full payment is received, all intellectual property in the Deliverables remains with Bitvarium. The Client acquires no ownership or licence to use the Deliverables prior to full payment.

11.2 What Is Not Transferred

The following are explicitly excluded from the IP transfer described above and remain the property of their respective owners:

Third-Party Plugins and Themes: WordPress plugins, themes, and other software incorporated into the project are licensed — not owned — by the Client, under the terms of their respective licences (typically GPL for WordPress ecosystem tools). The Client is responsible for maintaining and renewing those licences after handover.
Stock and Licensed Assets: Any stock photography, icon libraries, fonts, or other licensed third-party assets used in the project are subject to their own licence terms. Bitvarium will disclose which licensed assets have been used. The Client is responsible for ensuring their continued use complies with those licences.
Bitvarium’s Pre-existing Tools and Methods: Workflows, code frameworks, configuration templates, or development tools that Bitvarium has developed independently and uses across multiple projects remain Bitvarium’s property. Their use in your project does not constitute a transfer of ownership.
Client-Supplied Materials: All content, copy, images, brand assets, and other materials supplied by the Client to Bitvarium remain the property of the Client. By supplying them, the Client warrants that they have the right to do so and grants Bitvarium a limited licence to use them for the project.

11.3 WordPress and Open-Source Licensing

WordPress itself is open-source software released under the GNU General Public Licence (GPL). Most plugins and themes in the WordPress ecosystem are also GPL-licensed. GPL licensing means the software is free to use, modify, and redistribute under the same licence terms. Bitvarium does not provide legal advice on GPL compliance, and the Client is responsible for understanding the licence terms that apply to their installation.

12. Third-Party Tools, Plugins, and Services

WordPress development projects typically incorporate third-party plugins, themes, page builders, form tools, SEO plugins, analytics integrations, and other software not developed by Bitvarium. You acknowledge and agree that:

Third-party tools are recommended by Bitvarium based on our experience, but we do not endorse, guarantee, or take responsibility for the ongoing availability, performance, security, or pricing of any third-party tool.
Third-party tool developers may change, discontinue, or alter pricing for their products at any time, independently of Bitvarium. Bitvarium is not responsible for the cost of renewing third-party licences after project handover.
Where a third-party tool is discontinued or becomes incompatible with a future WordPress update after project handover, any remediation work required falls outside the original project scope and will be quoted separately.
Bitvarium may have affiliate or referral relationships with some third-party services. Where this is the case, it will be disclosed. Such relationships do not influence our technical recommendations — we recommend tools based on their merit for the project, not on referral value.

13. Client Portfolio Rights and Showcase Editorial Content

13.1 Client Portfolio Rights

Bitvarium maintains a Portfolio section at bitvarium.com/services/portfolio/ featuring examples of completed client work. Unless the Client has requested in writing — prior to project commencement — that their project remain confidential, Bitvarium reserves the right to:

Feature the completed project in the Portfolio, including screenshots, before/after comparisons, performance metrics, and a written description of the work performed and the outcomes achieved.
Reference the Client’s business name and the nature of the project in case studies, proposal documents, and on social media, without disclosing commercially sensitive business information.
Include a discreet “Built by Bitvarium” credit or backlink in the footer of the completed website. The Client may request its removal at any time after launch and Bitvarium will action the removal within 7 days.

The Client may withdraw portfolio consent at any time by written request to Bitvarium. The relevant Portfolio entry will be removed within 14 days of the request. Withdrawal of consent does not entitle the Client to any fee reduction or refund, and does not affect Bitvarium’s right to reference the engagement in general terms (e.g., “a healthcare client in Chennai”) without identifying the business.

13.2 Showcase Section — Editorial Comparison Content

The Bitvarium Showcase section (bitvarium.com/showcase/) publishes editorial content — product comparisons, roundups, and “top tools” articles covering WordPress plugins, themes, SaaS tools, and services that address common website-building problems. This section is entirely separate from client portfolio work.

The following terms govern your use of and reliance on Showcase content:

Editorial independence: Product selections and rankings in Showcase articles are based on Bitvarium’s independent assessment and practical experience. Inclusion in a comparison does not imply any commercial relationship with the product developer unless explicitly disclosed.
Affiliate and referral disclosure: Some links in Showcase articles may be affiliate or referral links. Where a link generates a commission or benefit to Bitvarium if you purchase or sign up through it, this will be disclosed clearly in the article — either in an introductory notice or adjacent to the link. Affiliate relationships do not influence the editorial assessment of a product. We do not accept payment to feature or rank a product favourably.
No guarantee of product performance: Showcase articles reflect Bitvarium’s assessment at the time of publication. Tools change — pricing, features, support quality, and ownership can all shift after an article is published. We make reasonable efforts to update articles when significant changes occur, but we cannot guarantee that any tool listed is current, available, or will perform as described in your specific environment. Always verify independently before purchasing.
No endorsement of third-party businesses: Featuring a product in Showcase content does not constitute a formal endorsement of the company that makes it. Bitvarium is not responsible for your experience with any tool or service reviewed on the Website.
Right to update or remove: Bitvarium reserves the right to update, revise, or remove any Showcase article at any time without notice — including removing a product from a comparison if it materially declines in quality, is discontinued, or is found to be misrepresented by its developer.

14. Confidentiality

Each party may disclose confidential information to the other in the course of a project — including business strategy, technical architecture, pricing, client data, and project details. Both parties agree to:

Hold the other party’s confidential information in strict confidence.
Not disclose confidential information to any third party without the disclosing party’s prior written consent, except where required by law or court order.
Use confidential information solely for the purposes of the project.

These obligations do not apply to information that is already publicly available through no fault of the receiving party, independently developed by the receiving party, or lawfully received from a third party without restriction.

Confidentiality obligations survive the termination of any Project Agreement for a period of two years.

Note: Bitvarium’s right to feature completed client work in its Portfolio (Section 13.1) is not a breach of confidentiality, and is expressly permitted unless a written confidentiality request has been made before project commencement. The Showcase section (Section 13.2) publishes editorial comparison content and is unrelated to client project data.

15. Disclaimer of Warranties

The Website and all Content on it are provided on an “as is” and “as available” basis, without any warranty — express, implied, or statutory — including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Specifically, Bitvarium does not warrant that:

The Website will be available continuously or free from errors, interruptions, or security vulnerabilities.
Content published on the Website — including blog posts, tutorials, reviews, and documentation — is complete, accurate, up-to-date, or suitable for your specific situation. Web development practices, tools, and plugin recommendations evolve rapidly; always verify information before applying it in a production environment.
Third-party tools, plugins, or services referenced or recommended on the Website will perform as expected in your specific technical environment.
SEO strategies or performance techniques described on the Website will produce specific rankings or traffic results, as these are subject to third-party platform algorithms outside our control.

With respect to professional Services, Bitvarium warrants that the Services will be performed with reasonable skill and care by a competent professional. Where the Services do not meet this standard, our obligation is limited to re-performing the deficient work within a reasonable timeframe at no additional charge. This is the Client’s sole remedy for a breach of this warranty.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Bitvarium’s total aggregate liability to you — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — arising from or in connection with the Website, Content, or any Services, shall not exceed the total fees paid by you to Bitvarium in the 12 months immediately preceding the event giving rise to the claim.

In no event shall Bitvarium be liable for any:

Loss of profits, revenue, business, or contracts.
Loss of anticipated savings.
Loss of goodwill or reputational damage.
Loss of data or failure of data security (other than resulting from Bitvarium’s gross negligence).
Indirect, special, incidental, consequential, or punitive damages — even if Bitvarium has been advised of the possibility of such damages.

This limitation of liability applies to the fullest extent permitted by Indian law and, where applicable, the laws of any other jurisdiction from which you access the Website or engage our Services.

Nothing in these Terms limits or excludes liability that cannot be excluded under applicable law, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

17. Indemnification

You agree to indemnify, defend, and hold harmless Bitvarium and Growthery Media (OPC) Private Limited, and their respective officers, employees, and contractors, from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:

Your use of the Website in violation of these Terms.
Client-supplied content that infringes the intellectual property rights of a third party, is defamatory, or is otherwise unlawful.
Your breach of any representation or warranty made in these Terms or a Project Agreement.
Any claim arising from the Client’s website or business operations after handover of the Deliverables.

18. Termination

18.1 Termination by Client

The Client may terminate a project engagement by providing written notice to Bitvarium. In the event of termination:

The Client is liable for payment of all fees for work completed and expenses incurred up to the date of termination notice.
Deposits and milestone payments already made are non-refundable.
Bitvarium will provide the Client with all Deliverables completed to date, in their current state, upon receipt of all outstanding fees.

18.2 Termination by Bitvarium

Bitvarium may terminate a project engagement immediately by written notice if:

The Client fails to make a payment within 14 days of the due date, and fails to remedy the non-payment within 7 days of a written reminder.
The Client requests that Bitvarium produce content or build functionality that is unlawful, defamatory, or in violation of third-party rights, and does not withdraw the request within 7 days of written notice.
The working relationship has broken down to the degree that productive collaboration is no longer possible, in Bitvarium’s reasonable assessment, and the Client has been notified of this concern with an opportunity to resolve it.

In the event of termination by Bitvarium under this clause, the Client is liable for all fees for work completed to date. Bitvarium will refund any fees paid that represent work not yet started.

18.3 Website Access Termination

Bitvarium reserves the right to restrict or terminate your access to the Website at any time, without notice, if you are found to be in violation of these Terms. Termination of Website access does not affect any rights or obligations that have already arisen under a signed Project Agreement.

19. Third-Party Websites and Services

The Website contains links to external websites and references to third-party services — including hosting providers, plugin developers, analytics tools, and social media platforms. These links are provided for your convenience and information only. Bitvarium does not endorse, control, or accept responsibility for the content, practices, or policies of any linked external site or service.

Your interactions with any third-party website or service are governed by that third party’s own terms and privacy policies. Bitvarium is not a party to any agreement between you and a third-party service, and we are not liable for any loss or damage arising from your use of external services.

20. Trademark Notices

The following trademark notices apply to this Website and all content published under the Bitvarium brand:

21. Governing Law and Dispute Resolution

21.1 Governing Law

These Terms and any dispute or claim arising from them — including non-contractual disputes — are governed by and construed in accordance with the laws of India, including the Indian Contract Act 1872, the Information Technology Act 2000, and any other applicable Indian legislation.

21.2 Informal Resolution

Before initiating any formal dispute process, both parties agree to make a genuine good-faith effort to resolve the dispute informally. The party raising the dispute should notify the other in writing, describing the issue clearly. Both parties will then have 30 calendar days to negotiate and attempt resolution.

21.3 Jurisdiction

If informal resolution is unsuccessful, any dispute shall be subject to the exclusive jurisdiction of the courts located in Tamil Nadu, India. By using the Website or engaging Bitvarium for Services, you submit to the personal jurisdiction of those courts.

We may update these Terms from time to time. When we do, the “Last Updated” date at the top of this page will be revised. For material changes, we will take reasonable steps to notify affected users — for example, by placing a notice on the Website. For active project clients, material changes to Terms that affect their engagement will be communicated directly via the Client Portal or email.

Your continued use of the Website after an update constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you should stop using the Website. Changes to Terms do not affect rights and obligations that have already arisen under a signed Project Agreement unless both parties agree in writing.
